PlateMastr Advertiser Terms of Service

These Advertiser Terms of Service (“Advertiser Terms”) govern your participation in the PlateMastr advertising and sponsorship program. By purchasing an advertising subscription on PlateMastr, you (“Advertiser,” “you,” or “your”) agree to be bound by these Advertiser Terms, the PlateMastr Terms of Service, and the PlateMastr Privacy Policy.
If there is a conflict between these Advertiser Terms and the general Terms of Service, these Advertiser Terms control for all advertising matters.
PlateMastr is operated by PlateMastr LLC (“PlateMastr,” “we,” “us,” or “our”). For advertising inquiries, contact us at advertise@platemastr.app or (469) 589-1824.
1. Definitions
1.1 “Advertiser” means any company or individual who purchases an advertising subscription through the PlateMastr advertising program.
1.2 “Ad Creative” means all content submitted by an Advertiser for display on the PlateMastr platform, including images, text, logos, links, and any associated materials.
1.3 “Billing Period” means the subscription period selected by the Advertiser at purchase: monthly (one calendar month), six-month (paid upfront for six consecutive months), or one-year (paid upfront for twelve consecutive months).
1.4 “Placement” means a specific location within the PlateMastr application where an Advertiser’s Ad Creative is displayed.
1.5 “Slot” means one available advertiser position within a given tier. When all Slots for a tier are filled, that tier is sold out.
1.6 “Tier” means one of the three advertising subscription levels: Bronze, Silver, or Gold.
2. Overview of the Advertising Program
PlateMastr (platemastr.app) is a software-as-a-service (SaaS) platform serving the metal finishing and electroplating industry. The advertising program allows qualified companies to display promotional content to PlateMastr’s professional user base — plating shop managers, lab technicians, and operations teams.
Advertisements appear as banner placements, feature placements, and (for eligible tiers) in-app interactive elements within the PlateMastr web application.
3. Advertising Tiers, Placements, and Slot Limits
PlateMastr offers three advertising tiers. Each tier provides specific Placement locations within the application. Bronze and Silver tiers have no fixed slot cap — multiple advertisers rotate through those placements. Gold tier is limited to a maximum of three (3) Slots total across all advertisers.
3.1 Bronze Tier
- Placement: Rotating bottom banner displayed across the application. Multiple Bronze advertisers rotate through this placement.
- Slots: No fixed cap. Multiple Bronze advertisers may be active simultaneously.
- Rates:
- Monthly: $9.99/month
- 6-Month Upfront: $54.99
- 1-Year Upfront: $99.99
3.2 Silver Tier
- Placement: Persistent top banner displayed throughout the application. Multiple Silver advertisers rotate through this placement.
- Slots: No fixed cap. Multiple Silver advertisers may be active simultaneously.
- Rates:
- Monthly: $24.99/month
- 6-Month Upfront: $134.99
- 1-Year Upfront: $249.99
3.3 Gold Tier
- Placement: Dedicated sponsor cards on the main dashboard, visible to all free-tier PlateMastr users. Each Gold Slot represents one persistent dashboard card position.
- Slots: Maximum of 3 Gold Slots total across all advertisers. An Advertiser may purchase 1, 2, or all 3 Slots.
- Rates:
- 1 Slot: $49.99/month · $269.99/6-month · $499.99/1-year
- 2 Slots: $99.99/month · $539.99/6-month · $999.99/1-year
- 3 Slots (Exclusive): $149.99/month · $809.99/6-month · $1,499.99/1-year
3.4 Gold Tier — Competitive Exclusivity Value
Purchasing multiple Gold Slots increases your brand’s dashboard presence proportionally. Each additional Slot adds one more dashboard card position occupied by your brand. An Advertiser who holds all three Gold Slots occupies every available Gold dashboard card position, which by definition prevents any other advertiser from appearing in those positions.
This is not a volume discount — each Slot is priced to reflect its individual competitive value. Buying multiple Slots is a strategic decision. PlateMastr does not guarantee that competitor exclusion will persist indefinitely, as PlateMastr reserves the right to modify the total number of Gold Slots available with appropriate notice (see Section 3.5).
3.5 Placement Changes
Placement locations, dimensions, and accepted formats are determined by PlateMastr and may be adjusted as the platform evolves. PlateMastr will provide current creative specifications upon request. If PlateMastr makes a change that materially reduces the visibility of your Placement compared to what was in place when you subscribed, PlateMastr will give you at least 30 days’ written notice before the change takes effect.
3.6 Gold Tier CTA Click Tracking
Gold dashboard sponsor cards include a call-to-action (CTA) button. PlateMastr tracks CTA clicks using the AdImpression system. Click count data is available to Gold Advertisers through the Advertiser Portal. The data accuracy disclaimer in Section 7.2 applies equally to click data — minor discrepancies may occur due to caching, ad blockers, or other technical factors, and PlateMastr does not guarantee the absolute accuracy of reported click counts.
4. Pricing and Billing
4.1 Billing Terms
PlateMastr offers three billing terms: monthly, six-month upfront, and one-year upfront. All amounts shown are full prices — there are no discounts applied for choosing a longer term. The incentive for paying upfront is a price lock: your rate is fixed for the full term you select (see Section 5).

Note: The 6-month upfront total equals the monthly rate multiplied by 6. The 1-year upfront total equals the monthly rate multiplied by 12. No prepayment discount is applied. Paying upfront locks your rate for the full term rather than saving you money on a per-month basis.
4.2 Automatic Renewal
All advertising subscriptions renew automatically at the end of each Billing Period. On renewal, your rate is recalculated based on PlateMastr’s current monthly active user (MAU) count at the time of renewal (see Section 12). If you prepaid for a 6-month or 1-year term, your locked rate applies for the full duration of that term — but the renewal after that term ends will be at the then-current rate. If you do not want to renew, cancel before your renewal date. See Section 10 for cancellation details.
4.3 Payment Processing
All payments are processed through Stripe. You are responsible for maintaining valid payment information on file. If a payment fails, PlateMastr may suspend your ad Placements. If a failed payment is not resolved within seven (7) calendar days, PlateMastr may terminate your subscription. A subscription terminated due to payment failure is treated the same as a cancellation for all purposes under these Advertiser Terms.
5. Price Lock for Prepaid Terms
5.1 What the Price Lock Means
If you choose a 6-month or 1-year billing term, your advertising rate is locked at the rate in effect on the day of your purchase. That rate will not change during your prepaid term — even if PlateMastr raises rates for new subscribers while your term is active.
5.2 Monthly Billing Has No Lock
If you subscribe month-to-month, your rate is not locked. At each monthly renewal, your rate is recalculated based on PlateMastr’s current MAU-based pricing tier (see Section 12). PlateMastr will provide at least fourteen (14) days’ written notice before a rate change takes effect on your account.
5.3 What Happens at Renewal
When a prepaid term ends, your subscription automatically renews. The renewal rate is based on PlateMastr’s current pricing at the time of renewal — not the rate you paid during your previous prepaid term. If you choose to prepay again for a new 6-month or 1-year term at renewal, the rate in effect at that time will be locked for the new term.
6. No Guaranteed Impressions or Performance
6.1 No Impression Guarantees
PlateMastr does not guarantee any specific number of impressions, views, clicks, leads, or conversions. Ad reach depends entirely on PlateMastr’s active user base, which fluctuates based on subscriber count, usage frequency, time of day, and other factors outside PlateMastr’s control.
6.2 No Performance Warranties
PlateMastr makes no warranties — express or implied — about the effectiveness of any Placement. This includes, but is not limited to, brand awareness, click-through rates, lead generation, or return on investment.
6.3 Early-Stage Platform Acknowledgment
You understand and agree that PlateMastr is an early-stage platform. Its user base is growing. Reach will increase over time, but current metrics may be modest. This is disclosed clearly so you can make an informed purchasing decision. Subscription fees are not refundable on the basis of platform growth being slower than anticipated.
7. Reporting
7.1 Reporting Access
PlateMastr provides Advertisers with access to impression and click data through the Advertiser Portal. Reports are updated periodically and are provided for informational purposes only.
7.2 Data Accuracy Disclaimer
Impression and click data may contain minor discrepancies due to caching, ad blockers, network conditions, or other technical factors outside PlateMastr’s control. PlateMastr does not guarantee the absolute accuracy of any reported metric and accepts no liability for business decisions made based on this data.
7.3 No Third-Party Audit Obligation
PlateMastr is not required to submit to third-party ad auditing or to provide any verification of reporting data beyond what the Advertiser Portal displays. The data available in the Advertiser Portal is the sole performance measurement provided under this agreement.
8. Ad Creative and Content Approval
8.1 PlateMastr’s Approval Rights
PlateMastr has the right — at its sole discretion — to approve, reject, request changes to, or remove any Ad Creative at any time and for any reason. This right exists before publication and throughout the active subscription period.
8.2 Submission Process
Before any Ad Creative goes live, Advertisers must submit it to PlateMastr for review through the Advertiser Portal or by email to advertise@platemastr.app. PlateMastr will make reasonable efforts to review submissions within five (5) business days.
8.3 Rejected or Removed Creative
If PlateMastr rejects or removes your Ad Creative, you will be notified by email. You must submit replacement creative that meets PlateMastr’s requirements within seven (7) calendar days. If compliant replacement creative is not received within that window, PlateMastr may, at its sole discretion:
- Display a placeholder graphic or no ad in your Placement(s), or
- Suspend your Placement(s) for the remainder of the Billing Period
No refund or credit will be issued for any period during which your Placement is inactive because compliant Ad Creative was not available.
8.4 Creative Specifications
PlateMastr will provide current specifications for file formats, image dimensions, file sizes, and character limits upon request. Specifications may change as the platform evolves. PlateMastr will provide reasonable advance notice of any material specification changes.
8.5 Approval Is Not Endorsement
PlateMastr’s approval of Ad Creative does not mean PlateMastr endorses, verifies, or vouches for any claim, product, or service contained in the creative. The Advertiser is solely responsible for the accuracy and legality of all content.
9. Advertiser Conduct and Content Standards
9.1 Prohibited Content
You may not submit Ad Creative that:
- Contains false, misleading, or deceptive claims about your products, services, or competitors
- Promotes illegal products, services, or activities
- Disparages PlateMastr, its users, or other advertisers on the platform
- Contains obscene, defamatory, or harassing material
- Infringes on any third party’s intellectual property rights, including trademarks, copyrights, and patents
- Promotes products or services outside the metal finishing, surface finishing, or manufacturing industries without prior written approval from PlateMastr
- Violates any applicable law or regulation, including EPA, OSHA, RoHS, or other environmental and safety regulations
9.2 FTC Compliance
All advertising must comply with the Federal Trade Commission Act (15 U.S.C. § 45), the FTC’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255), and all other applicable FTC regulations and guidance on truth in advertising, including the prohibition on deceptive and unfair acts or practices. Advertisers are solely responsible for ensuring that all claims, testimonials, endorsements, and performance representations in their Ad Creative are truthful, substantiated, and clearly disclosed in accordance with FTC standards. Material connections between an Advertiser and any endorser must be clearly and conspicuously disclosed as required by 16 C.F.R. Part 255. PlateMastr’s review or approval of Ad Creative does not constitute a determination of FTC compliance, and PlateMastr assumes no liability for any FTC violation arising from Advertiser-submitted content.
9.3 Advertiser Responsibility for Claims
You are solely responsible for all claims made in your Ad Creative. If a third party makes a claim against PlateMastr based on content you submitted, you are responsible for defending PlateMastr and covering any resulting costs. See Section 13 (Indemnification) for details.
9.4 Landing Pages
Any URL linked from your Ad Creative must lead to a functional, relevant destination that does not contain malware, deceptive content, or automatic file downloads. PlateMastr reserves the right to disable or remove any link that violates this requirement.
10. Cancellation
10.1 Cancellation by Advertiser
You may cancel your subscription at any time through the Advertiser Portal or by emailing advertise@platemastr.app. When you cancel:
- Your Ad Placements remain active through the end of the current Billing Period
- No refund is issued for the remaining time in the Billing Period
- Any unused portion of a prepaid term (6-month or 1-year) is forfeited. No refund is issued for the remaining prepaid time.
- Your Slot becomes available for new advertisers
Cancellation must be confirmed in writing (email is sufficient). Verbal requests are not binding.
10.2 Cancellation by PlateMastr for Cause
PlateMastr may terminate your advertising subscription at any time if you:
- Violate these Advertiser Terms
- Violate PlateMastr’s general Terms of Service
- Submit or display Ad Creative that PlateMastr determines is harmful, deceptive, or damaging to the platform or its users
- Engage in any conduct that PlateMastr reasonably determines puts the platform, its users, or PlateMastr at legal or reputational risk
If PlateMastr terminates your subscription for cause, no refund will be issued.
10.3 Program Discontinuation by PlateMastr
If PlateMastr discontinues the advertising program entirely, PlateMastr will provide at least sixty (60) days’ written notice to all active Advertisers. In this case only, PlateMastr will issue a pro-rated refund for any prepaid Billing Period amounts remaining after the final discontinuation date.
11. Refund Policy
11.1 No Refunds
All advertising payments are final and non-refundable. This applies to all tiers and both initial payments and renewal payments. Cancellation mid-period does not entitle you to a refund for the unused portion of a Billing Period.
11.2 Sole Exception
The only exception to the no-refund policy is program discontinuation initiated by PlateMastr as described in Section 10.3.
12. Rate Changes and MAU-Based Pricing
12.1 MAU-Based Pricing Tiers
PlateMastr’s advertising rates are tied to its Monthly Active User (MAU) count. As the platform grows and delivers more reach to advertisers, rates increase for new subscribers and for renewing subscribers. The current escalation schedule is:

These thresholds and adjustment percentages are subject to change. PlateMastr will publish current rates at platemastr.app/advertise at all times.
12.2 Rate Increases During Active Prepaid Terms
If you have a prepaid (6-month or 1-year) term, your rate is locked for the full duration of that term regardless of any MAU milestone changes that occur while your term is active. See Section 5 for full details on the price lock.
12.3 Monthly Subscriber Rate Changes
If you subscribe month-to-month, your rate may change at each renewal based on the then-current MAU pricing tier. PlateMastr will provide at least fourteen (14) days’ written notice before a rate change takes effect on your account. If you do not want to pay the new rate, you may cancel before your next renewal date.
12.4 Rate Increases for New Subscribers
PlateMastr may increase rates for new subscribers at any time, without notice to existing active subscribers. Existing subscribers with a locked prepaid term are unaffected by rate increases until their term renews.
13. Intellectual Property
13.1 Advertiser Owns Their Creative
Advertisers retain ownership of all Ad Creative, trademarks, and other intellectual property they submit to PlateMastr. By submitting Ad Creative, you grant PlateMastr a non-exclusive, royalty-free license to display, reproduce, and distribute that creative solely for the purpose of operating your Placement during your active subscription period. This license ends when your subscription ends.
13.2 PlateMastr’s Property
The PlateMastr name, logo, application interface, software, and all associated intellectual property are the exclusive property of PlateMastr. Advertisers may not use PlateMastr’s name, logo, or branding in their own marketing materials without prior written permission from PlateMastr.
13.3 No Implied Licenses
Nothing in these Advertiser Terms grants either party any rights to the other’s intellectual property beyond what is expressly stated here.
14. Indemnification
You agree to indemnify, defend, and hold harmless PlateMastr, its owner, operators, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your Ad Creative, including any claim of intellectual property infringement, false advertising, or defamation
- Your violation of these Advertiser Terms or the general Terms of Service
- Your violation of any applicable law or regulation
- Any claim by a third party related to your products, services, or advertising content displayed on PlateMastr
PlateMastr reserves the right to assume control of the defense of any matter subject to indemnification by you, at your expense. You may not settle any claim that imposes obligations on PlateMastr without PlateMastr’s prior written consent.
15. Limitation of Liability
15.1 Liability Cap. To the maximum extent permitted by applicable law, PlateMastr’s aggregate liability to any Advertiser arising out of or related to these Advertiser Terms — whether in contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether PlateMastr has been advised of the possibility of such damages — shall not exceed the total fees actually paid by that Advertiser to PlateMastr during the six (6) calendar months immediately preceding the event giving rise to the claim.
15.2 Exclusion of Consequential Damages. In no event shall PlateMastr, its owner, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to: loss of profits, loss of revenue, loss of business or contracts, loss of anticipated savings, loss of goodwill, loss of use, loss of data, or business interruption — howsoever caused and on any theory of liability — even if PlateMastr has been advised of the possibility of such damages.
15.3 Essential Basis. The parties acknowledge that the limitations set forth in this Section 15 reflect a reasonable allocation of risk and form an essential basis of the bargain between the parties. PlateMastr would not have entered into these Advertiser Terms without these limitations.
15.4 Jurisdictional Variations. Some jurisdictions do not permit the exclusion or limitation of liability for certain damages. To the extent that any such law applies and cannot be waived by agreement, the applicable limitation or exclusion shall be modified only to the minimum extent necessary to comply with such law, and all other limitations shall remain in full force and effect.
16. Modifications to These Terms
PlateMastr may modify these Advertiser Terms at any time. If the modification is material — meaning it changes your rights, pricing, or obligations in a meaningful way — PlateMastr will notify active Advertisers by email at least thirty (30) days before the change takes effect.
If you continue participating in the advertising program after the effective date of a modification, you accept the modified terms. If you do not accept the modification, your remedy is to cancel your subscription before the new terms take effect.
17. Governing Law and Dispute Resolution
17.1 Governing Law. These Advertiser Terms and any dispute arising out of or related to them — whether in contract, tort, or otherwise — shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice-of-law or conflict-of-law rules that would cause the laws of any other jurisdiction to apply.
17.2 Exclusive Venue. Any legal action or proceeding arising out of or related to these Advertiser Terms shall be brought exclusively in the state courts of Dallas County, Texas, or the United States District Court for the Northern District of Texas, Dallas Division, as appropriate. Each party irrevocably consents to the personal jurisdiction and venue of those courts and waives any objection to such jurisdiction or venue, including any objection based on inconvenience of forum.
17.3 Informal Resolution. Before initiating any formal legal proceeding, the parties agree to attempt good-faith resolution of any dispute by providing written notice to the other party describing the nature and basis of the claim. The parties will have thirty (30) days from the date of notice to attempt resolution informally. This requirement does not apply to claims for injunctive or other equitable relief where immediate action is necessary.
17.4 Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOTH PARTIES KNOWINGLY AND VOLUNTARILY WAIVE THEIR RESPECTIVE RIGHTS TO A TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF OR RELATED TO THESE ADVERTISER TERMS OR THE ADVERTISING SERVICES PROVIDED HEREUNDER.
17.5 No Class Actions. All disputes under these Advertiser Terms must be brought on an individual basis only. Neither party may bring any claim as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The parties expressly waive any right to do so. A court may not consolidate more than one party’s claims and may not preside over any form of class or representative proceeding.
18. Severability
If any provision of these Advertiser Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.
19. Waiver
PlateMastr’s failure to enforce any provision of these Advertiser Terms on one occasion does not waive PlateMastr’s right to enforce that same provision or any other provision on future occasions.
20. Entire Agreement
These Advertiser Terms, together with the PlateMastr Terms of Service and Privacy Policy, constitute the entire agreement between you and PlateMastr with respect to advertising on the PlateMastr platform. They supersede all prior agreements, representations, and understandings on this subject — whether written or verbal.
